La comparaison proposée entre les Principes d’UNIDROIT et le droit contractuel du Québec s’articule autour de deux axes. Le premier amène l’auteure à déduire des dispositions des deux instruments juridiques que, s’il existe entre eux une fondation commune basée sur l’équilibrage entre les principes de liberté et de justice contractuelles, leurs moyens respectifs de mise en
oe u v re s’inscrivent sur une échelle graduée en variations. Le second permet à l’auteure d’induire des deux instruments – à partir de leur capacité de répondre aux réalités contractuelles contemporaines – une mutation de la théorie classique des contrats, fondée sur une conception transactionnelle des échanges
économiques, vers une théorie générale fondée sur une conception relationnelle des rapports.
